Terms and Conditions for Tutoring Services by Adya Academy Pty. Ltd. and/or Adya Australia Pty. Ltd.

These Terms and Conditions (“Agreement”) govern the provision of tutoring services (“Services”) by Adya Academy Pty. Ltd. and/or Adya Australia Pty. Ltd. (“Company”) to the parents and students who are enrolled at Adya Academy Pty. Ltd. and/or Adya Australia Pty. Ltd. (“Clients”). By accessing or using our Services, You agree to be bound by the terms outlined below. If You do not agree to these Terms, You should not use our Services.

1. Services Provided

We offer personalized tutoring for English, Mathematics and various Science subjects to all students at primary and high school levels. 

2. Scheduling and Cancellations

• Session Scheduling: Tutoring sessions will be scheduled by the Company and Clients will be informed about the timings accordingly.
• Cancellation Policy: Clients must notify the Company of cancellations as per the Legal Statement in our Terms and Conditions webpage.
• Session Rescheduling: Due to unforeseen or unavoidable reasons, tutoring sessions can sometimes be rescheduled. Alternate sessions may then be planned accordingly.
• Session Absences: Please note that all sessions are charged. So, we encourage students not to miss any class. In the event a student misses a session, they will be able to access all the homework materials for the session they missed.

3. Fees and Payments

• Pricing: The cost of tutoring services may be reviewed from time to time and appropriate notice will be provided to clients.
• Payment: The fees are to be paid monthly but we will issue you the invoice in the month following the month of tutoring sessions. For example, the fees for February of a particular academic year will be issued as an invoice to the client in the month of March of that same year and so on.
• Payment Method: Payments must be made via bank transfer and are due seven (7) days from the date of issue of the invoice.
• Late Payments: Late payments may incur a late fee of 10% if the fees is not paid within 21 days, and failure to pay within a month of the due date may result in suspension or termination of Services.

4. Responsibilities of the Client

• The Client agrees to provide accurate information about the student’s educational background, learning needs, and goals.
• The Client will provide a quiet and conducive environment for tutoring sessions.
• The Client agrees to respect the tutor’s professional conduct and policies.

5. Responsibilities of the Tutor

• The Company will provide a qualified tutor with relevant experience and expertise in the subject area requested by the Client.
• The tutor will maintain professional conduct.
• The tutor will create a positive and supportive learning environment for the student.

6. Confidentiality

The Company and its tutors will maintain the confidentiality of any personal information shared during tutoring sessions. This includes but is not limited to academic records, student performance, and any personal details shared by the Client.

7. Termination of Services

• By the Client: The Client may terminate tutoring services at any time by providing written notice to the Company as per the Legal Statement in our Terms and Conditions webpage (which is a written notice of four (4) weeks in advance). Any fees for sessions already provided will remain due.
• By the Company: The Company reserves the right to terminate Services if the Client breaches any of these Terms and Conditions, including failure to make payments or disruptive behavior.

8. Liability

• No Guarantee of Results: While the Company strives to help students improve academically, the Company does not guarantee specific outcomes, such as grades or test scores.
• Limitation of Liability: The Company is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of its Services.

9. Intellectual Property

All materials, resources, and content provided by the Company during tutoring sessions, including lesson plans, worksheets, and other educational materials, are the intellectual property of the Company. These materials are for personal use only and cannot be reproduced or distributed without written permission from the Company. We strictly discourage and do not allow the distribution of our materials with other enrolled or non-enrolled clients and the same applies to the online login details for each session, homework materials and their access, to name a few.

10. Force Majeure

The Company will not be held responsible for any delay or failure to perform its obligations under these Terms and Conditions due to events beyond its reasonable control, including but not limited to natural disasters, strikes, pandemics, or government restrictions.

11. Amendments to Terms

The Company reserves the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to the Client, and continued use of the Services after such changes will constitute acceptance of the revised Terms.

12. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the state of Victoria, Australia, and any disputes will be resolved within the jurisdiction of the courts of Victoria, Australia.
